This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Replicator LLC ("Replicator," "we," "us," or "our") governing your access to and use of the websites, online services, and related software or integrations operated by Replicator (collectively, the "Services"), including connections to third-party business tools such as accounting platforms.

By accessing or using the Services, you agree to be bound by this Agreement. If you do not agree, do not use the Services.

1. License grant

Subject to this Agreement, Replicator grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful personal or internal business purposes related to browsing, purchasing, or administering Replicator products and related compliance workflows.

2. Restrictions

You may not:

  • Copy, modify, reverse engineer, or create derivative works of the Services except as allowed by law
  • Use the Services for any unlawful purpose, including violations of firearms or export laws
  • Attempt to gain unauthorized access to systems, accounts, or data
  • Interfere with or disrupt the Services or third-party services connected to them
  • Misrepresent your identity, age, or legal authority to purchase regulated products
  • Resell or sublicense access to the Services without our written consent

3. Accounts and eligibility

Certain features require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You represent that you are at least 21 years of age and legally permitted to use the Services in your jurisdiction.

4. Purchases and regulated products

Product sales, transfers, and related workflows are subject to applicable federal, state, and local law, including ATF requirements. Completing a purchase does not guarantee transfer; final delivery depends on legal compliance, FFL processes, and our acceptance of the order. Product descriptions and availability may change without notice.

5. Third-party services

The Services may integrate with or rely on third-party providers (for example, payment processors, shipping carriers, tax services, compliance systems, or accounting software such as QuickBooks). Your use of those services may be subject to the third party's terms and privacy policies. Replicator is not responsible for third-party services we do not control.

6. Intellectual property

The Services, including software, content, logos, product designs, and trademarks, are owned by Replicator or its licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted to you.

7. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPLICATOR AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO REPLICATOR FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). PRODUCT WARRANTIES, IF ANY, ARE STATED SEPARATELY (SEE OUR WARRANTY PAGE).

9. Indemnification

You agree to indemnify and hold harmless Replicator from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of this Agreement, or violation of law.

10. Termination

We may suspend or terminate your access to the Services at any time if you violate this Agreement or if we discontinue the Services. Provisions that by their nature should survive (including intellectual property, disclaimers, and limitations of liability) will survive termination.

11. Governing law

This Agreement is governed by the laws of the State of Colorado, USA, without regard to conflict-of-law principles, except where federal law applies. Venue for disputes shall lie in the state or federal courts located in Colorado, unless applicable law requires otherwise.

12. Changes

We may update this Agreement from time to time. The "Last updated" date above will change when we do. Continued use of the Services after changes constitutes acceptance of the updated Agreement.
